These Terms of Use ("Terms") govern access to and use of the CTRL + Ledger website, client portal, dashboards, and related services (the "Services") operated by [LEGAL BUSINESS NAME] ("CTRL + Ledger", "we", "us"). By using the website, registering an account, purchasing services, or accessing the portal, you agree to these Terms.
1. Acceptance
You accept these Terms by using the website, creating an account, purchasing services, or accessing the client portal. If you do not agree, do not use the Services.
2. Eligibility and authority
You represent that you are legally capable of entering into binding agreements. If you create an account or accept these Terms on behalf of a corporation, partnership, or other organization, you represent that you have the authority to bind that organization.
3. Services
CTRL + Ledger may provide services including bookkeeping, transaction categorization, bank and credit-card reconciliation, accounts receivable and payable tracking, month-end reporting, management reporting, financial dashboards, KPI dashboards, cash-flow reporting, business performance insights, financial data visualization, QuickBooks Online and third-party integrations, AI-generated observations, automated alerts, workflow automation, client document storage, and client portal access. The services available to each customer depend on their subscription and any separate written service agreement.
4. No professional relationship automatically created
Using the public website does not by itself establish a bookkeeper-client, accountant-client, CPA-client, lawyer-client, tax-adviser-client, investment-adviser-client, or fiduciary relationship. A professional services relationship is established only through an executed agreement or confirmed engagement with CTRL + Ledger.
5. No tax or legal advice
Unless specifically included under a separate written engagement, CTRL + Ledger does not provide legal advice, tax opinions, or assurance services, and does not represent that it is acting as a Chartered Professional Accountant. Clients should consult qualified legal, tax, accounting, or investment professionals when those services are required.
6. Accuracy of information
Financial dashboards and reports depend on information supplied by the client, financial institutions, QuickBooks, third-party software, APIs, integrations, employees, vendors, and uploaded documents. CTRL + Ledger cannot guarantee that third-party data is complete, timely, or error-free.
7. Client responsibility
Clients remain responsible for providing complete and accurate records; reviewing reports; notifying CTRL + Ledger of errors; approving material classifications when required; maintaining supporting documentation; complying with tax and regulatory obligations; filing tax returns and remittances unless specifically included in an engagement; and making final business decisions.
8. No guarantee of outcomes
No guarantee is made regarding profitability, business performance, revenue, cost reduction, tax savings, financing approval, valuation, lead conversion, investment returns, avoidance of penalties, or audit outcomes.
9. Third-party services
The platform may depend on services including QuickBooks Online, Intuit, banking providers, payment processors, hosting providers, database providers, authentication providers, AI providers, CRM systems, automation providers, and communications services. CTRL + Ledger does not control these third parties and cannot guarantee their uptime, availability, accuracy, or security.
10. Intellectual property
CTRL + Ledger retains ownership of its website, dashboard designs, workflows, software, templates, processes, branding, report templates, AI systems, methodologies, and proprietary analytics. Clients retain ownership of their underlying business data.
11. Prohibited use
Users may not access another client's information; attempt unauthorized access; scrape the platform; reverse engineer software; share login credentials; upload malware; abuse APIs; use the platform illegally; impersonate others; attempt to defeat access controls; or interfere with infrastructure.
12. Suspension and termination
CTRL + Ledger may suspend or terminate accounts for security risks, fraud, non-payment, illegal activity, violations of these Terms, threats to other users, or misuse of the Services.
13. Availability
The platform may occasionally become unavailable because of maintenance, third-party outages, API outages, software updates, cybersecurity incidents, or circumstances beyond reasonable control. We do not promise 100% uptime unless a signed SLA specifically provides it.
14. Limitation of liability
LEGAL REVIEW REQUIRED. To the maximum extent permitted by applicable law, and where enforceable, CTRL + Ledger excludes liability for indirect, consequential, incidental, special, exemplary, and punitive damages, and for loss of profit, revenue, opportunity, goodwill, expected savings, or business information. Our aggregate liability for any claim is capped at the fees actually paid by the affected customer to CTRL + Ledger during the twelve (12) months preceding the event giving rise to the claim. This cap does not apply where exclusion or limitation is prohibited by law.
15. Indemnification
LEGAL REVIEW REQUIRED. You agree to indemnify and hold harmless CTRL + Ledger from claims arising from your unlawful use, breach of these Terms, inaccurate data deliberately supplied, infringement caused by materials you provide, or unauthorized use of your account.
16. Force majeure
CTRL + Ledger is not liable for failure or delay caused by circumstances beyond reasonable control, including internet outages, government action, natural disasters, labour disruption, major cloud-service outages, infrastructure failure, or cyberattacks not caused by our wilful misconduct.
17. Governing law
These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada. The parties submit to the exclusive jurisdiction of the courts of Ontario. Ontario venue/jurisdiction — legal review required.
18. Severability
If any provision is found unenforceable, the remaining provisions remain in effect.
19. Entire agreement
These Terms may be supplemented or superseded for professional services by a signed Client Services Agreement, which controls in the event of a conflict.
20. Changes
We may update these Terms from time to time with an updated effective date and appropriate notice where required. Continued use after changes constitutes acceptance.
